Can Algorithms Govern? Prof. Nicholson Challenges role of AI in Boardrooms

Prof. Gavin Nicholson, winner of the 2025 AICD Annual Gold Medal, sparked debate at the Queensland Annual Dinner for the Australian Institute of Company Directors on Thursday, November 6, 2025. Addressing the evolving role of AI in corporate governance, Prof. Nicholson questioned whether technology could truly replace the human element in board function, asserting that AI's primary value remains as an augmenting tool for data analysis and board effectiveness.

He outlined three critical limitations preventing AI and digital solutions from achieving effective governance independently:

Risk and Ambiguity: Algorithms excel at pattern recognition but lack the human discernment needed to navigate unpredictable breakdowns and high ambiguity.

Human Factor: Boards require the ability to account for complex human behaviors, relationships, and networks that AI cannot fully explain.

Fairness in Decision Tools: AI struggles profoundly with the concept of fairness, unable to compare or reconcile its meaning across diverse contexts like sports, movies, or complex business scenarios.

Prof Nicholson concluded that while AI is influencing decision-making, it ultimately cannot replace the nuanced, values-driven judgment of human directors
